TERMS OF SERVICE

Please read these Terms of Service (“Terms”) carefully before purchasing or using the services provided by WEBHello, (“we,” “us,” or “our”).
By purchasing our services, you (“the Client,” “you,” “your”) agree to be bound by these Terms and our Privacy Policy. If you do not agree to these terms, you may not use our services.
1. Definitions
“The Service”: The specific subscription package (e.g., “Web Starter” or “Business Pro”) offered by us and purchased by the Client.
“The Website”: The 1-3 page WordPress website designed, built, and hosted by us as part of the Service.
“Setup Fee”: The non-refundable, one-time fee paid by the Client to initiate the design and build of the Website.
“Subscription Fee”: The recurring monthly fee paid by the Client to keep the Service active.
“Client Content”: All materials provided by the Client for use on the Website, including but not limited to text, logos, images, and other branding materials.
“Add-on Service”: Any service provided by us that is not included in the initial setup and subscription, as detailed on our “Add-ons Page.”
2. Our Services
We offer subscription-based website packages. The specific deliverables are as follows:
a. “Web Starter” Package:
One-time setup and design of a 1-3 page professional WordPress Website.
Inclusion of one (1) round of revisions during the build process.
Ongoing secure website hosting.
Ongoing core technical management (server and uptime monitoring).
Inclusion of annual domain name registration (e.g.,
.co.zaor.com, subject to availability).Daily website backups.
SSL certificate implementation and management.
b. “Business Pro” Package:
Includes all items in the “Web Starter” Package.
PLUS: Professional email hosting with up to five (5) email accounts linked to the domain.
3. Onboarding and Build Process
Our process is designed for clarity and speed:
Enquiry: The Client will first submit an enquiry form on our website – here.
Quotation & Business Form: We will review the enquiry. If the project is a good fit, we will send the Client a formal quotation, a link to our detailed business information form, and a secure payment link for the Setup Fee.
Payment & Content: The project begins once we have received (a) the paid Setup Fee and (b) the completed business information form with all necessary Client Content.
Design & Build: We will design and build the Website, a process typically taking 5-7 working days.
Revisions: We will present the draft Website to the Client. The Client is entitled to one (1) round of revisions. A “round of revisions” is defined as a single email or document containing all requested changes.
Launch: After the revisions are implemented and the Client provides final approval, we will make the Website live.
4. Fees and Payment
a. Setup Fee: The Client agrees to pay the non-refundable Setup Fee in full before any work will commence.
b. Subscription Fee:
The Client agrees to pay the recurring Subscription Fee each month, in advance, to keep the Service active.
Failure to pay the Subscription Fee within seven (7) days of the due date may result in the suspension of the Service, and the Website will be taken offline.
Fees are subject to an annual review and may be adjusted with 30 days’ written notice to the Client.
5. Ownership, Control, and Intellectual Property
This is a Website-as-a-Service (WaaS) subscription. The Client is subscribing to a managed service, not purchasing the website files outright upon setup.
a. Client Content: The Client retains 100% ownership of all Client Content provided to us. The Client warrants that they have the legal right to use all Client Content.
b. Website and Design Files:
We retain 100% ownership of the design, code, and all website-specific files. These files are our intellectual property and are licensed to the Client for the duration of their active subscription.
The Client is granted no rights or access to the Website’s backend, admin panel, WordPress dashboard, or hosting environment (e.g., cPanel).
c. Website Buyout Option:
The Client may choose to purchase the full intellectual property and files for their Website for a one-time Buyout Fee of R10,000.
Upon receipt of the Buyout Fee, we will package all Website files and the associated database and deliver them to the Client.
At this point, this agreement will terminate, and the Client will be solely responsible for all future hosting, maintenance, security, and management of the Website.
6. Domain Names and Email
a. Domain Registration: We will manage the annual registration of one (1) standard domain name (e.g., .co.za or .com) for the Client as part of the monthly Subscription Fee. The Client remains the full and legal owner of this domain name.
b. Email Service (Business Pro Package): Email accounts are provided with a standard storage limit. These accounts are for professional communication and not for mass marketing (e.g., bulk newsletters) or file storage. We reserve the right to enforce fair use policies.
7. Maintenance, Support, and Add-On Services
a. Included Maintenance: The ongoing Subscription Fee covers the core technical management required to keep the Website live. This includes server management, security monitoring, daily backups, and ensuring the site is online. It does not include any content changes, design changes, or bug fixes caused by third-party services.
b. Add-On Services (Paid Changes):
The Client has no access to the Website’s backend to make changes.
Any and all changes to the Website after the initial launch and single revision round are billable.
This includes, but is not limited to, updating text, changing images, adding new pages, or adding new features.
These services are billed separately, as per the pricing on our “Add-ons Page.”
8. Cancellation and Termination
a. Cancellation by Client:
The Client may cancel the Service at any time by providing 30 (thirty) days’ written notice via email to enquiries@webhello.co.za.
The final Subscription Fee will be charged for this 30-day notice period.
At the end of the notice period, the Service will terminate, and the Website will be taken offline.
b. Data and Deletion:
Following cancellation, we will retain a backup of the Website files for a grace period of 60 (sixty) days.
If the Client does not reactivate the service or pay the Buyout Fee within this 60-day period, all Website files and data will be permanently and irretrievably deleted.
c. Termination by Us: We reserve the right to terminate the Service immediately and without notice if the Client fails to pay the Subscription Fee or breaches any part of this agreement.
9. Bespoke Solutions (boompow.ninja)
Any request for services that fall outside the scope of the “Web Starter” or “Business Pro” packages (e.g., advanced eCommerce, custom web applications, complex integrations) will be treated as a separate project. These projects will be quoted and managed by our high-end solutions division, boompow.ninja, and will be governed by a separate contract.
10. Limitation of Liability
We shall not be liable for any damages, including but not limited to, loss of profits, loss of data, or other intangible losses, resulting from the use or inability to use the Service. We are not responsible for any copyright infringement claims arising from Client Content. Our total liability is strictly limited to the amount paid by the Client to us in the 30 days preceding the claim.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa.
12. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on our website. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
